Why They Are Separate
National Approvals (FDI): France, Germany, Italy, and Belgium approved the deal under their individual Foreign Direct Investment (FDI) laws. These reviews only check if a foreign transaction threatens that specific country's national security or critical local infrastructure.
The EU Commission Review (Antitrust & Subsidies): The European Commission reviews the deal on behalf of all member states combined. They look at market-wide monopolies and fair competition.
The EU's Final Say
Even though those individual countries said "yes" to the investment on their home soil, the EU Commission still holds absolute veto power.
Individual country clearances do not guarantee blanket approval from the European Union (EU) Commission.
They are completely separate regulatory mechanisms. Individual country approvals and the overarching European Union (EU) review operate on entirely different legal tracks.
If the EU decides the merger creates a monopoly or uses unfair foreign subsidies, it can block the deal entirely, overriding the individual nations.
